Can a mutual fund distributor become a SEBI investment adviser?

Investment AdviserSEBI registration

Yes, but an individual adviser and their family cannot distribute to clients they advise. Any implementation goes through direct schemes, so the commission income from those clients ends.

A mutual fund distributor can register as a SEBI investment adviser (advisor). The condition is that an individual adviser, or any member of their family, cannot provide distribution services to a client they advise. Implementation for advised clients runs only through direct schemes.

Where the exemption stops

SEBI exempts AMFI-registered mutual fund distributors who advise incidentally on the schemes they distribute. The word that matters is incidentally. A distributor who builds a paid advisory service around clients is engaged in the business of investment advice for consideration, and that is what the registration covers.

What changes for your existing clients

  • A client you advise cannot also be a client you distribute to. The bar covers you and your family.
  • If you help an advised client act on your advice, implementation goes through direct schemes only.
  • No consideration for that implementation may be taken at the level of the client's group or family.
  • Fees for the advice come from the client under the fee ceilings, with any assets under a pre-existing distribution arrangement deducted from AUA.

The name you can use

No one dealing in distribution of securities may call themselves an Independent Financial Adviser, IFA, Wealth Adviser or any similar name unless registered with SEBI as an investment adviser. Registration lets you use the title. It does not let you hold both roles with the same client.

Your ARN

Note

The SEBI documents we cite do not say what happens to an AMFI ARN when a distributor registers. The ARN sits under AMFI's own rules, which we have not cited here. We confirm the position for your ARN and your client book at scoping, client by client.

A practical split

Distributors who register usually sort their book into clients who move to advice and clients who stay on distribution. The two lists cannot overlap. Doing that sort before you apply gives you the deposit slab, the fee model and the client agreements in one pass.

We handle the documentation and filing: Investment Adviser registration

Sources read on 28 October 2026. SEBI revises these requirements, so we re-confirm every figure against the current circular before it goes into an application.

BuildWright Consultants provides documentation, application-drafting, and compliance facilitation for SEBI Investment Adviser and Research Analyst registration. This is not legal advice and does not replace a qualified professional. We are not SEBI and do not guarantee registration outcomes. Eligibility, deposit, fee, and timeline requirements are as prescribed by SEBI from time to time. Every figure we publish names the SEBI document it came from and the date it was read, and we re-confirm it against the current circular during scoping.
