Converting an individual IA registration into a company registration

Investment AdviserSEBI registration

Apply for in-principle registration as a non-individual adviser, complete the move within three months, and you can keep your registration number. You keep serving clients throughout.

Want this checked against your own position? We handle the documentation and the filing.

An individual investment adviser who goes past 300 client agreements at any point, or ₹3 crore of fees in a financial year, applies for in-principle registration as a non-individual adviser. That is valid for up to three months, and the old registration number can be retained.

The steps in order

  • Apply for in-principle registration as a non-individual investment adviser (a company or LLP).
  • Complete the transition inside the three months the in-principle registration allows.
  • Keep servicing your existing clients while it runs.
  • On completion, surrender the individual certificate and receive final non-individual registration.
  • Ask to retain your old registration number if you want it.

What it costs at SEBI

A body corporate including an LLP pays ₹10,000 on application and ₹15,000 on registration, against ₹2,000 and ₹3,000 for an individual or firm. Renewal after five years is ₹5,000. The deposit and the BSE administration fee are separate.

The company needs people the individual did not

A non-individual adviser's compliance officer holds NISM-Series-III-A, Securities Intermediaries Compliance (Non-Fund), alongside the NISM-Series-X-A, X-B and X-C certificates for the adviser route. Principal officer and persons associated with advice do not each need registration, but they meet the regulation 7 qualification and certification requirements.

If you do not get there

An adviser who does not obtain non-individual registration continues as an individual adviser and stays inside the client and fee limits. Starting the company and its documents before you reach 300 is the cheaper way to meet the three-month window.
