Compliance after registration

Individual Investment Adviser to company

An individual Investment Adviser has a ceiling. Past 300 clients, or Rs 3 crore of fees in a financial year, you have to apply to become a non-individual adviser. You get three months to complete the transition. We prepare the application and the company behind it.

What the rule says
  • The trigger is 300 clients at any point of time, or Rs 3 crore of fees collected in the financial year, whichever comes first.
  • You apply for in-principle registration as a non-individual Investment Adviser.
  • The in-principle approval is valid for up to three months to complete the transition.
  • You carry on servicing existing clients during the transition.
  • The old registration number can be retained.
  • If non-individual registration is not obtained, you continue as an individual adviser and have to stay within the client and fee limits.
What we do
  • Track your client count and fees against the two triggers, so you know before you cross.
  • Prepare the in-principle application to the BSE administration body.
  • Prepare the company or LLP documents and the non-individual registration file.
  • Move your agreements, website and disclosures to the new entity.
What we need from you
  • Your current client count and the fees collected so far this financial year.
  • Your registration details and the structure you want, company or LLP.
  • Your qualification and NISM records, and those of the people who will be associated with the advice.
What it costs

₹35,000

Preparing the in-principle application and the non-individual registration file. Setting up the company or LLP, and SEBI and BSE fees, are extra.
