Compliance after registration

Post-registration changes

Moving office, renaming the firm, a new principal or compliance officer, a new shareholder, or closing down: each has its own BSE checklist and documents, and a change in control needs SEBI's approval before it happens. We prepare the filing and track it to approval.

What the rule says
  • Both sets of regulations require you to tell SEBI at once of any material change in the information you gave at registration. For RAs and IAs the filing goes to BSE, which scrutinises it and recommends it to SEBI.
  • A change in control needs SEBI's prior approval. The approval is valid for six months, and the application for fresh registration has to be filed within that time.
  • A name or registered-address change brings a fresh certificate, and clients are told within 15 days of it.
  • Filings go by email as signed PDFs on your letterhead with BSE's Excel checklist for the change, at 6 MB per email and 2 MB per document.
  • BSE fines a change in control without approval at ₹25,000, and a material change not told to SEBI at ₹5,000, then ₹10,000.
What we do
  • Tell you whether your change needs prior approval or an intimation, before you sign anything.
  • Fill BSE's checklist and draft the board resolution, declarations and undertakings in the formats it asks for.
  • Check every document against the size and format limits and send the filing to BSE.
  • Answer BSE's queries until the filing is closed or approved, then draft the notice to your clients where one is due.
  • For a surrender, draft the newspaper notice and the closure declarations, and diarise the 30-day wait.
What we need from you
  • What is changing and the date you want it to take effect.
  • Your registration certificate and the documents BSE's checklist asks for, such as a board resolution, PAN or the new incorporation certificate.
  • For a change in control, the shareholding before and after and details of the incoming shareholder.

Questions
Does a new investor in my company count as a change in control?

It can. Tell us the shareholding before and after, and we check it before you sign the share purchase.

How soon must I tell clients about a new address?

For a change of registered address, within 15 days of receiving the fresh certificate.

Is there a SEBI fee for a change?

We confirm it for your change when we scope the filing. Each filing carries a declaration of the last SEBI fee you paid.

Want this taken off your list?

Tell us your registration type and financial year end. We will tell you what we would handle and what we need from you.
