The owner gives a letter that authorises the company to use the premises as its registered office, which is what people call the NOC. Rule 25(2)(c) of the Companies (Incorporation) Rules, 2014 asks for the authorisation from the owner or authorised occupant along with proof of ownership or occupancy authorisation.

Rule 25(2)(d) adds a utility bill, such as electricity, gas or telephone, that shows the address of the premises in the name of the owner and is not older than two months. The rule joins clauses (c) and (d) with the word and, so the NOC alone is not enough. Enclose the proof of ownership and the utility bill with it. The letter below lists both as enclosures.

Rule 25(2) also lists two other routes: a registered title document in the name of the company, or a notarised lease in the company's name with a rent receipt not older than one month. Use this letter when the premises belong to someone else and the company has no title or lease of its own.

Section 12 of the Companies Act, 2013 gives thirty days from incorporation to have a registered office and to furnish its verification to the Registrar.

Rule 25(1) says the verification is filed in Form INC.22, with the documents in rule 25(2) attached. This letter is the owner's authorisation and is not the form. The incorporation form may already carry the office address, and our service confirms which filing applies.

Dear Sir or Madam,

I, Mr Anil Deshpande, am the owner of the premises at Office 3, Ground Floor, Deshpande Chambers, Karve Road, Pune, Maharashtra 411004 (the premises).

Common questions

Is the NOC enough on its own for the registered office?

Rule 25(2)(c) asks for the owner's authorisation "along with" proof of ownership or occupancy authorisation, and clause (d), the utility bill, follows after "and". Enclose all of them. This letter lists the proof and the utility bill as enclosures.

How old can the utility bill be?

Rule 25(2)(d) asks for a bill not older than two months. The form checks that the bill is no more than two months older than the letter. A newer bill is the safe choice if filing is delayed.

Whose name must be on the utility bill?

Rule 25(2)(d) asks for a bill showing the address of the premises in the name of the owner, or in the name on the document as the case may be. For an owner, use a bill in the owner's name.

How long does the company have to verify its registered office?

Section 12(1) and (2) of the Companies Act, 2013 give thirty days from incorporation, both to have the registered office and to furnish its verification to the Registrar.
