A suit for unpaid invoices has to be filed within three years under the Limitation Act, 1963. For goods sold with no fixed credit the period runs from delivery (Article 14), and for goods on a fixed credit period from its end (Article 15). For work done with no time fixed for payment it runs from the day the work was done (Article 18). A notice does not stop that clock.

The pack works out the last day to sue for each invoice and warns you if that day falls before the days you are giving the buyer. The notice itself covers up to 20 invoices to the same buyer, credits what the buyer has already paid, and comes with a statement of account. If your terms are silent on interest, the notice gives the written notice that section 3(1)(b) of the Interest Act, 1978 needs, so a court may allow interest from the date of the notice.

The notice is for suppliers outside the MSMED Act: medium firms, suppliers without a Udyam registration before the order, traders and freelancers. It names pre-institution mediation under section 12A of the Commercial Courts Act, 2015 where that section applies. We can send the notice for you and keep the proof of delivery.

Common questions

How long do I have to sue for an unpaid invoice?

Three years, counted under Article 14, 15 or 18 of the Limitation Act depending on whether you supplied goods or work and whether a credit period was agreed. The Before you send sheet shows the last day for each invoice.

Can I claim interest if our terms say nothing about it?

The notice gives the written notice section 3(1)(b) of the Interest Act needs. A court may then allow simple interest from the notice date to the date you file, at a rate it fixes up to the current rate of interest.

Is mediation needed before a suit?

For a commercial dispute of specified value, section 12A of the Commercial Courts Act needs pre-institution mediation first, unless urgent interim relief is sought. The sheet says which side of the three lakh figure your claim falls on.

Should I use this or the MSMED notice?

If you are a micro or small supplier with a Udyam registration from before the order, the MSMED notice carries statutory interest. This one is for everyone else.

Can I see the document before I pay?

Yes. Fill in your details and the page shows the first page of each document with your own answers in it. You pay only if it is what you need.

Can I change the document after I download it?

Yes. Each document comes as a Word file you can edit and a PDF you can print. You can also change your answers and prepare it again before you pay.

What if the payment goes through and the documents do not open?

The page checks the payment again and opens the documents on the same payment, so you are never charged twice. If they still do not arrive, write to us within 7 days and we refund the full amount.

Can you send or file it for me?

Yes. After you download, ask us to take the next step and we handle the sending or filing for you.
