An NDA is a private contract, valid under the same Section 10 basis as any Indian contract. It doesn't get filed with any authority. Its enforceability comes down to how it's drafted: a confidentiality restriction that's reasonable in time and scope holds up. An indefinite, unlimited restraint invites a court to read it the same way it reads a void non-compete.
Confidentiality clauses are the category of restriction Indian courts actually enforce post-termination, unlike a non-compete, which Section 27 of the Contract Act voids outright. That's the reason a well-drafted NDA is worth more than a free download: the wording is what determines whether it survives a dispute.

A mutual NDA runs in both directions: each party discloses something and each party is bound to protect what it receives. That's the right shape for a partnership conversation, an investor discussion, or a vendor relationship where information flows both ways. A one-way NDA fits a situation where only one side is actually disclosing anything, a candidate reviewing your product roadmap before joining, for instance.

Stamp duty on an NDA varies by state, and it's not something we quote a figure for without checking your specific state first. A template that states a duty figure or claims blanket exemption is guessing. We'd rather tell you it varies and confirm it for your situation.

A confidentiality clause and a non-compete do different jobs. Confidentiality protects information itself and is enforceable if reasonable in time and scope. A non-compete tries to restrict where someone can work afterward, and that's void under Section 27 regardless of wording.
