DIR-12 is the MCA filing that formally records a new director's appointment (or a change in an existing director's designation) with the Registrar of Companies.
It has to be backed by the incoming director's signed consent to act (DIR-2) and a disqualification disclosure (DIR-8), alongside a board resolution. Miss any one of these and the filing can bounce back.

Specifics
Any time your company brings on a new director, or an existing director's role changes (resignation, designation change), it has to be recorded with the ROC via DIR-12. This is separate from your original SPICe+ incorporation filing: DIN allotted for up to 3 first directors during incorporation doesn't cover directors added afterward.
DIR-12 must be filed within 30 days of the change. Late filing risks additional fees, so we track this as part of the process rather than leaving it to you to remember.
