Incorporation
We file your LLP's partner change: Form 4 for the admission or retirement, plus the supplementary LLP agreement and its Form 3 filing, within the 30-day window. Documentation and filing facilitation only.
Adding or removing an LLP partner needs Form 4, a supplementary LLP agreement, and its own Form 3 filing, all inside a 30-day window. We handle the full sequence, and we won't quote you the stale flat late-fee figure that's still circulating.
Every LLP eventually adds or loses a partner. The paperwork for it is distinct from your original incorporation filing: a supplementary LLP agreement recording the change, filed via Form 3, plus Form 4 recording the partner-level event itself.
Both run on the same 30-day clock, and both are usually filed together.
Formally records the partner change in your LLP's constitutional document.
Filed within 30 days of the change, or of execution, whichever is earlier.
Filed within 30 days of the admission or retirement, with the required CA/CS/CMA certificate.
Form 4 records the partner-level event itself: who's coming in, who's going out. It doesn't, on its own, update the underlying LLP agreement. That's what the supplementary agreement does, filed through Form 3. The two are filed together for a partner admission or cessation, since one records the person and the other records the constitutional change.
A flat Rs 100/day, uncapped late fee for LLP forms still circulates online. It's stale. The LLP (Amendment) Rules, 2022, effective 1 April 2022, replaced it with a delay-bracket slab scaled to your LLP's total contribution amount. It isn't a flat per-day rate anymore. We won't quote you a single rupee figure, since the fee genuinely depends on your contribution size and how late the filing is.

Common mistakes founders make
For a partner admission or cessation, yes. Form 4 records the partner-level event; Form 3 records the resulting change to your LLP agreement.
It's scaled by your LLP's contribution size under a delay-bracket structure introduced in 2022. It isn't a flat rate anymore. We won't quote a specific figure without knowing your contribution amount and how late the filing would be.
No. That flat, uncapped rate was replaced by the LLP (Amendment) Rules, 2022, effective 1 April 2022, with a slab structure based on contribution size.
Yes, we collect that as part of putting the supplementary agreement together.
