Udyam Registration

We prepare your Udyam registration details, take you through the official portal and check the certificate it issues. If you still hold an old Udyog Aadhaar, we handle the move to Udyam. Documentation and filing facilitation only.

Udyam registration is free on the government portal and needs no documents uploaded. It is also the record the MSMED Act's payment protection rests on, and that protection does not reach an invoice dated before you register. We prepare your details, take you through the portal and check the certificate, so the category and activity codes are right the first time.

Udyam registration is the Ministry of MSME's register of micro, small and medium enterprises. The portal describes it as free, paperless and based on self-declaration. It also states that no private agency is authorised to register an enterprise, which is why the Aadhaar OTP step stays with you. We handle everything around that step.

The reason to register early is the payment protection in sections 15 and 16 of the MSMED Act, 2006. A micro or small supplier whose buyer pays late is owed compound interest at three times the RBI bank rate. Our MSME payment calculator shows what that comes to on your own invoice.

Scope

What's included

  • We compare your PAN and GST details with what you plan to enter, confirm whose Aadhaar the portal needs for your type of enterprise, and choose the NIC activity codes that describe what the enterprise makes or does.

  • You enter the Aadhaar OTP yourself, since the portal states that no private agency is authorised to register an enterprise for you. We stay with you through each screen, and the portal issues your Udyam Registration Number and certificate when you finish.

  • The certificate shows your category and activities. We check them, and your address, against your records and tell you what to correct on the portal if anything is off.

  • The portal says enterprises registered under EM-Part-II or UAM had to register again on Udyam. We take you through the fresh registration, with your old number to hand.

Specifics

The details

Who registers, and whose Aadhaar the portal asks for

Type of enterpriseAadhaar ofAlso needed
ProprietorshipThe proprietorPAN, and GSTIN where GST law applies
Partnership firmThe managing partnerPAN, and GSTIN where GST law applies
Hindu undivided familyThe kartaPAN, and GSTIN where GST law applies
Company, LLP, cooperative society, society or trustThe organisation's authorised signatoryThe organisation's PAN, and its GSTIN where GST law applies

If GST law applies to you and you have no GSTIN yet, GST registration comes first, because the portal asks for it.

Your category

The category follows from two figures, investment in plant and machinery or equipment and turnover, and an enterprise sits in a category only while it meets both limits. The portal takes both figures from your PAN and GST records, and export turnover is left out of the turnover count.

CategoryInvestment in plant and machinery or equipment, up toTurnover, up to
Micro2.5 crore rupees10 crore rupees
Small25 crore rupees100 crore rupees
Medium125 crore rupees500 crore rupees

These are the limits in force from 1 April 2025 (Ministry of MSME notification S.O. 1364(E) of 21 March 2025, which amended S.O. 2119(E) of 26 June 2020). Older guides still show the 2020 investment limits of 1, 10 and 50 crore.

What registration is for

The Ministry's own note on the benefits of Udyam registration lists these:

  • Protection against delayed payment under the MSMED Act, 2006, with the Samadhaan portal for complaints about late payment.
  • The Ministry's schemes, which the note names as the Credit Guarantee Scheme and the Public Procurement Policy, and an additional edge in government tenders.
  • Eligibility for priority sector lending from banks.
  • The option to register on GeM, the government e-marketplace, and to onboard on a TReDS platform to trade your invoices.

Separately, a small enterprise that holds a Udyam certificate files a trademark application at the lower government fee slab. Our trademark application page explains when that applies.

The payment protection, and where it stops

Under section 15 a buyer pays by the date agreed in writing, or within 15 days of accepting the goods or services if nothing was agreed, and an agreed period can never run past 45 days from acceptance. Under section 16 a buyer who pays late owes compound interest with monthly rests at three times the RBI bank rate, whatever the contract says.

  • Only a micro or small enterprise is a supplier for sections 15 and 16, so a medium enterprise gets no statutory interest.
  • The Ministry's Samadhaan FAQ states that registration benefits cannot be taken retrospectively, and it tests your registration date against the date of the invoice in dispute. The Supreme Court has held that a registration made after delivery covers only supplies made after it.
  • Retail and wholesale trade (NIC codes 45, 46 and 47) falls outside the delayed-payment provisions, on Ministry of MSME office memoranda of 1 September 2021 and 28 June 2024.

The MSME payment calculator applies these limits to your invoice and shows the interest owed. If a buyer is already past the due date, we also prepare the MSMED demand notice. The free Udyam registration data checklist lists the details the portal asks for, so you can gather them before you start.

Old Udyog Aadhaar and EM-II registrations

The portal states that enterprises registered under EM-Part-II or UAM had to register again on Udyam from 1 July 2020, and that their old registrations stayed valid only until 31 December 2021. A Udyog Aadhaar number you still quote to a bank or a buyer no longer counts as proof of MSME status. An enterprise files one Udyam registration, with any number of manufacturing or service activities added to it, and the registration needs no renewal.

Note

The government charges no fee for Udyam registration. The only place a registration is made is the official portal, udyamregistration.gov.in, and the portal states that no private agency is authorised to do it for you. What we add is preparation, guidance on the portal and a check of the result.

Common mistakes founders make

  • Registering after the invoice instead of before it. The payment protection does not reach an invoice dated before your registration.
  • Quoting an old Udyog Aadhaar number as proof of MSME status. Those registrations stopped being valid after 31 December 2021.
  • Listing only a trade code when the enterprise also makes goods or renders services. Retail and wholesale trade (NIC 45, 46 and 47) falls outside the payment protection, so the activities on the certificate matter.
  • Filing a second registration for a second activity. An enterprise files one Udyam registration and adds its activities to it.
  • Paying a government fee for registration. There is none, and the official portal is the only place it is made.

Clarifications

Frequently asked questions

Nothing. The portal states there is no fee for filing Udyam registration, and nothing is uploaded, since the registration is self-declared.

An Aadhaar number, a PAN and, where GST law applies to you, a GSTIN. Whose Aadhaar depends on the type of enterprise: the proprietor's, the managing partner's, the karta's, or the authorised signatory's for a company, LLP, society or trust.

You can register at any time, but the payment protection does not reach an invoice dated before your registration. The Ministry's Samadhaan FAQ states that benefits cannot be taken retrospectively, and the Supreme Court has held that a registration made after delivery covers only supplies made after it.

No. The portal states that enterprises registered under EM-Part-II or UAM had to register again on Udyam, and that their old registrations stayed valid only until 31 December 2021.

No. The portal states there is no need for renewal, and it takes your investment and turnover from government PAN and GST records.

No on both counts. A medium enterprise is not a supplier for sections 15 and 16 of the MSMED Act, and the Ministry's office memoranda of 1 September 2021 and 28 June 2024 leave retail and wholesale traders (NIC 45, 46 and 47) outside the delayed-payment provisions.

It left sections 15 and 16 untouched. The MSMED (Amendment) Act, 2026 came into force in part on 15 October 2026, and it replaced section 8 with a free and voluntary national digital platform for filing the memorandum.
