AOC-4 due date

When is AOC-4 due?

AOC-4 is due within 30 days of your annual general meeting (section 137(1) of the Companies Act 2013). The AGM itself is due within six months of the financial year closing, or within nine months for a company's first AGM (section 96(1)). A private company with a 31 March year end that holds its AGM on 30 September files AOC-4 by 30 October.

Each day after the due date adds ₹100 to the filing fee, with no upper limit. That rate rests on two secondary sources.

Section 137(3) opens a separate penalty on top of the fee: ₹10,000 plus ₹100 a day, up to ₹2 lakh on the company and ₹50,000 on each officer in default.

Give the company compliance check your incorporation date and your AGM date. It shows whether AOC-4 is late today and what the fee has reached. If the AGM has not been held, leave the date blank and the check works to the last day the Act allows.

Common questions

Is the AOC-4 due date 30 September?

30 September is the usual last day for the AGM of a company with a 31 March year end. AOC-4 follows 30 days after the AGM, so 30 October when the AGM is held on that last day.

What if the company holds no AGM?

The 30 days then run from the last day on which the AGM should have been held (section 137(2)).

Does the date change in the first year?

The first AGM can be held up to nine months after the first financial year closes, so the AOC-4 date moves with it. The 30 days after the AGM still apply.

Do One Person Companies follow the same date?

No. A One Person Company files within 180 days of the financial year closing. The compliance check does not cover One Person Companies yet.
