What is the additional fee for late AOC-4 filing?
AOC-4 carries an additional filing fee that scales with each day past the due date, with no upper cap. It is charged under the Companies (Registration Offices and Fees) Rules, 2014, and it applies regardless of how far along the annual filing otherwise is.
That additional fee is not the only cost of running late. Section 137(3) opens a separate statutory penalty track on the company and on every officer in default, capped independently for each. The two run side by side rather than one folding into the other.
Enter the due date and the date you actually expect to file below and the calculator works out the additional fee for you, with the rule it came from.
Worked example: 42 days late
Due 2026-10-30, filed 2026-12-11.
₹4,200 (42 days x ₹100/day, uncapped)
This additional fee is separate from a statutory penalty MCA can open under section 137(3): ₹10,000 plus ₹100/day of continuing default on the company, capped at ₹2,00,000, and ₹10,000 plus ₹100/day on every officer in default, capped at ₹50,000 each. That penalty track runs independently of the filing fee above.
Common questions
Is the AOC-4 additional fee capped?
No. It is charged per day late with no ceiling, so it keeps rising the longer the filing waits.
Is the AOC-4 additional fee the same as the section 137(3) penalty?
No, they are separate. The additional fee is a filing-fee surcharge. The section 137(3) penalty is a statutory consequence MCA can open on the company and its officers on top of that fee.
Does the additional fee change if the company is small?
The per-day rate this calculator uses is the standard rate under the 2014 rules. It is not scaled by company size the way LLP Form 8 and Form 11 fees are.
This calculator does documentation and filing facilitation work. It is not legal advice, and it only covers the forms we hold a sourced fee rule for. AOC-4 and MGT-7 additional fees are one part of the cost of running late. Get in touch if the figure above needs confirming before you pay it.
