What is the late fee for INC-20A?
INC-20A does not carry a per-day filing fee the way AOC-4 and MGT-7 do. Miss the 180-day window and section 10A(2) of the Companies Act triggers a flat penalty instead, one amount on the company and a separate amount on every officer who let it slip.
The penalty does not grow the longer you wait once it applies. There is no slab to climb down by filing a week sooner rather than a month sooner. What does grow is the list of things the company cannot do while INC-20A stays unfiled: it cannot start business, and it cannot exercise its borrowing powers.

Worked example: 45 days late
Due 2026-03-01, filed 2026-04-15.
₹50,000 on the company, plus ₹45,000 on every defaulting officer
This is a straight penalty under section 10A(2). It does not scale with the days, so there is no slab to climb down once it applies. Until INC-20A is filed and approved, the company can't start business or exercise its borrowing powers, and MCA can move to strike the company off if there's reason to believe it isn't operating.

Does the INC-20A penalty increase with more days late?
No. Once the 180-day window closes, the penalty is a flat amount on the company and a capped per-day amount on each defaulting officer. It does not reset or escalate further with more delay beyond that cap.
Can a company operate before filing INC-20A?
It can be incorporated, but it cannot start business or exercise its borrowing powers until INC-20A is filed and approved. Contracts signed and money borrowed before that point sit on shaky ground.
What happens if INC-20A is never filed?
MCA can move to strike the company off the register if there is reason to believe it is not carrying on business. The penalty under section 10A(2) stacks on top of that risk rather than replacing it.
