Section 173(3) of the Companies Act, 2013 needs notice of a Board meeting to reach every director at least seven days before it, and Secretarial Standard 1 adds two days where the notice goes by post. Section 174(1) sets the quorum. Minutes go into the minute book within thirty days of the meeting under section 118.
The pack covers six items: approving the accounts and the Board's report, borrowing money, noting a director's resignation, moving the registered office within the same city, the declaration to start business in Form INC-20A, and opening a bank account. For each one you get the notice with agenda, the note and draft resolution, and a certified true copy to issue after the meeting passes it.
The sheet then lists the filing that follows and its date. A resignation goes to the Registrar in Form DIR-12 within thirty days of the company receiving it. A change of registered office goes in Form INC-22 within thirty days of the change. A charge on assets goes in Form CHG-1 within thirty days of creating it. INC-20A is due within 180 days of incorporation. If directors are interested in the item, the pack checks that enough free directors remain for the quorum, and it stops if they do not.

Common questions
How much notice does a Board meeting need?
At least seven days under section 173(3), plus two days if the notice goes by registered or speed post. Shorter notice is allowed for urgent business, and the sheet explains what ratification then needs.
Which board matters does the pack cover?
Approving accounts, borrowing, a director's resignation, a registered office move within the same city, the INC-20A declaration and a bank account. One pack covers one matter.
When do I issue the certified true copy?
After the meeting passes the resolution. It can be issued before the minutes are entered, and its text must match what was passed.
Does the company file the resolution in MGT-14?
It depends. A private company that has filed AOC-4 and MGT-7 for every year due does not file section 179(3) resolutions in MGT-14, and one that has not filed does. The pack asks and the sheet says which applies.
Can I see the document before I pay?
Yes. Fill in your details and the page shows the first page of each document with your own answers in it. You pay only if it is what you need.
Can I change the document after I download it?
Yes. Each document comes as a Word file you can edit and a PDF you can print. You can also change your answers and prepare it again before you pay.
What if the payment goes through and the documents do not open?
The page checks the payment again and opens the documents on the same payment, so you are never charged twice. If they still do not arrive, write to us within 7 days and we refund the full amount.
Can you send or file it for me?
Yes. After you download, ask us to take the next step and we handle the sending or filing for you.
