Director resignation letter and acknowledgement

How does a director resign, and what does the company have to file afterwards?

The two documents below cover both sides of a director leaving the board: the director's letter, which states the date the resignation is to take effect, and the company's acknowledgement, which records the day the letter was received.

The date of receipt matters for the filing. Rule 15 of the Companies (Appointment and Qualification of Directors) Rules, 2014 gives the company thirty days from the date of receipt of the notice of resignation to intimate the Registrar in Form DIR-12. The clock starts when the company receives the notice, so the acknowledgement carries that date and the last day to file.

Section 168(1) of the Companies Act, 2013 also lets the director send Form DIR-11 to the Registrar within thirty days. It is optional, and both documents mention it. Fill in the form and download the letters as Word to edit or as PDF.

Common questions

Who files Form DIR-12 after a director resigns?

The company. Rule 15 asks the company to intimate the Registrar in Form DIR-12 within thirty days from the date it received the notice of resignation.

Does the director have to file anything?

The director may send Form DIR-11 within thirty days. Section 168(1) and rule 16 use the word may, so it is optional. The letter asks the company for a copy of the DIR-12 it files.

Do the thirty days run from the date of the letter or from the date the resignation takes effect?

Neither. Rule 15 counts from the date the company received the notice of resignation. That is why the acknowledgement records the date of receipt.

Does this document decide when the resignation takes effect?

The letter states the date the director wants. The documents record that date and the filing step. They do not state the legal effect of a particular date, so check it against section 168 for your case.
