What is the late fee for LLP Form 8?
Form 8 does not carry a flat per-day charge. Instead the fee is a multiplier on the LLP's normal Form 8 filing fee, and which multiplier applies depends on two things: how many days late the filing is, and whether the LLP counts as small or other-than-small.
A small LLP sits on a lower multiplier at every delay band than an other-than-small LLP does. Both climb through the same set of bands as the delay grows, and past 360 days an extra per-day charge stacks on top of the multiplier.
This slab table is reproduced from secondary sources rather than a primary gazette text we have read ourselves, so the calculator flags it and we would confirm the exact figure against the MCA fee calculator before anyone pays it.
Worked example: 56 days late
Due 2026-05-30, filed 2026-07-25.
4x the normal Form 8 filing fee
This slab is reproduced from secondary sources. The primary MCA gazette text is still unread, so confirm the figure against the MCA fee calculator before you pay it.
MCA won't process a Form 24 strike-off for this LLP until every overdue Form 8 and Form 11 is filed and current, so this fee has to clear even if the plan is to close the LLP rather than keep it running. No LLP-specific amnesty scheme is active right now.
Common questions
What counts as a small LLP for the Form 8 fee?
It comes down to the contribution and turnover thresholds shown next to the size toggle in the calculator below. Cross either one and the LLP is other-than-small for this purpose.
Can an LLP avoid Form 8 arrears by closing the LLP instead?
No. MCA will not process a Form 24 strike-off until every overdue Form 8 and Form 11 is filed and current, so the fee has to clear either way. No LLP-specific amnesty scheme is active right now.
Is the Form 8 late fee slab confirmed against the primary MCA text?
The bands are corroborated by two secondary sources but the primary gazette text is still unread on our end, which is why the calculator carries a source-flag warning on this figure.
Does the Form 8 late fee keep rising forever?
The multiplier itself caps at 360 days, but an additional per-day charge stacks on top of that capped multiplier for every day beyond 360.
This calculator does documentation and filing facilitation work. It is not legal advice, and it only covers the forms we hold a sourced fee rule for. AOC-4 and MGT-7 additional fees are one part of the cost of running late. Get in touch if the figure above needs confirming before you pay it.
